Electra Partners Europe has agreed to sell Gardiner to ADI, the Security Distribution division of Honeywell International. The company anticipates completing the transaction in the first half of
2006, subject to regulatory review.

Gardiner Groupe Europe, with their headquarters based in Paris, France is a leading
distributor of CCTV systems, fire alarm, intrusion alarm, access control, public address
and integrated systems. It has 75 branch locations in 10 European countries. With an annual turnover of €215 million, the Group was purchased by Electra Partners Europe, a private equity fund, in July 2003.
