SectorGuard to acquire SectorAlarm

SectorGuard is currently in talks to acquire SectorAlarm Limited, which specialises in the installation and maintenance of electronic security systems. The acquisition of SectorAlarm, which is accredited to NSI Gold status, would take the Company into the electronic security sector.
David Marks, Chairman of SectorGuard said: “The acquisition of SectorAlarm will provide us with a strong platform on which to build a full service, total security solution business. The enlarged group will be able to add significant value to all its clients through the integration of traditional manned guarding solutions and electronic system solutions, providing a high quality, cost-effective solution for the protection of our clients’ assets.
“We hope that this will be the first of a series of acquisitions in the global protection sector to allow us to take advantage of critical mass and economies of scale, as we have in the initial growth stage within the manned guarding sector. We have made steady progress in expanding our manned guarding operation across the UK and now feel that with an extended offering we will be able to actively build on these successes.”
In its audited accounts for the year ended 30 September 2004, SectorAlarm reported an operating profit before depreciation and amortisation of £85,000 on a turnover of £612,000 and a gross profit of £233,000. Net Assets as at 30 September 2004 were £537,000. The proposed initial consideration is £400,000 with up to a further £800,000 payable over the two years following completion of the acquisition, dependent upon the levels of profit achieved. The consideration is likely to be settled part in cash and part by the issue of new shares in SectorGuard.
